This Membership Camping Resort Agreement (the “Agreement”) is made and entered into 2/23/2012 between RED ROVER CAMPING CLUB, a Wyoming corporation (“Red Rover”), whose corporate office is 1930 North Poplar Street, Suite 21, Southern Pines, North Carolina 28387, and
MEMBER(s):

THANK YOU FOR JOINING RED ROVER CAMPING CLUB. BY ENROLLING IN AND PAYING FOR THE RED ROVER CAMPING RESORT MEMBERSHIP (THE “MEMBERSHIP”), YOU AGREE TO THE FOLLOWING PRICES, CHARGES, TERMS AND CONDITIONS IN THIS AGREEMENT. In this Agreement, “you” and “your” mean the Member identified above.

A. Enrollment Fee and Monthly Payments (select one)
¨ 3-year Membership: $499 enrollment fee, no activation fee, $29.99 monthly fee
¨ 1-year Membership: $599 enrollment fee, $99 activation fee, $39.99 monthly fee

B. Membership Benefits
Red Rover Membership entitles you to: (1) stays for $10 per night at exclusive private resorts and at nearly 300 other private RV and camping resorts; (2) stays for $15 per night at over 275 public campgrounds; (3) 50% off stays at over 750 public campgrounds; (4) up to 60 days advanced reservations; and (5) rental accommodations at nearly 100 private RV and camping resorts; in addition to numerous other benefits as part of the Red Rover community. The following restrictions apply: (1) up to seven days per visit; (2) 30 days away at private resorts; (3) 7 days away at public campgrounds; (4) up to 2 visits per year at each private resort; and (5) unlimited visits to public campgrounds.

C. Membership Term.
The term of the membership shall be for three years or one year, as you have designated above. The monthly fee of $29.99 (3-year term) or $39.99 (1-year term) shall be charged automatically to your designated form of payment, pursuant to the recurring payment authorization agreement. At the end of the initial term, this Agreement will automatically renew on a month-to-month basis.

D. Cancellation.
You may cancel this Agreement within 15 business days of execution for a full refund of your enrollment fee, activation fee, and initial monthly fee. After the expiration of the 15-business day rescission period, cancellation of this Agreement is subject to an early cancellation fee which will be the equivalent to 30% of the remaining dues owed on the duration of your membership term. If you purchased a 3-year membership, you may convert your membership to a 1-year membership upon payment to Red Rover of a $100 enrollment fee, $99 activation fee, and agreement to pay the $39.99 monthly fee for the duration of the membership term.

E. Additional Terms and Conditions
1. Transferability of Membership. Membership pursuant to this Agreement may be transferred to another party. It may not be transferred unless Member is then current in all payment obligations to Red Rover. Transfer shall be effective only upon written consent by Red Rover, which consent shall not be unreasonably withheld. No transfer shall become effective until the Member’s transferee has entered into a new membership agreement with Red Rover. Transfers shall be subject to payment to Red Rover of a transfer fee. The current transfer fee is $99.
2. Assignment. Red Rover may assign all or part of its right under this Agreement and any such assignment shall vest in the assignee of Red Rover of all Red Rover rights hereunder. Such assignment shall not cut off as to third parties any right of action or defense that you shall have against Red Rover.
3. Entire Agreement. Member and Red Rover agree that this Agreement and any and all other documents executed contemporaneously herewith, which are hereby incorporated by reference, shall constitute the entire agreement between them and that no representations, oral or written, have been made or relied upon which are not herein provided or set forth. This Agreement will become effective and binding upon both parties only when signed by Member in the space provided herein and accepted by Red Rover.
4. Notices. All notices from you shall be delivered by mail, postage prepaid, to Red Rover at 1930 North Poplar Street, Suite 21, Southern Pines, North Carolina 28387. Red Rover’s notice to you under this Agreement will be provided by mail, postage prepaid, to the address specified herein, and/or by email to the email address provided herein.
5. Severability. The terms and provisions of this Agreement shall be deemed independent and severable and the invalidity of any one provision or portion thereof shall not affect the validity or enforceability of any other provision hereof.
6. Governing Law. This Agreement will be governed by the law of the State of Wyoming.

BY SIGNING BELOW, YOU ACKNOWLEDGE YOUR AGREEMENT TO THE PRICES, CHARGES, TERMS AND CONDITIONS OF THIS AGREEMENT.
